This section covers general or scope wise terms for bigpipes.app
These Terms & Conditions (the “Terms”) apply between PETRONAS Institute of Technology Sdn Bhd, (“UTP”) and the users of UTP's pipeline engineering cloud software product (the “Software”) (the “End User” or “End Users”) and shall form the core of any agreement between UTP and End User, whether entered into by execution of order forms or other order documents by UTP and End User, (the “Agreement”).
These Terms shall apply exclusively. Any terms and conditions of End User which deviate from, or interact with these Terms shall only become part of the supplementary Agreement upon prior written confirmation of UTP.
This section covers terms related to the end user's accounts and software usage.
In order to be able to use the Software in accordance with these Terms, End User shall be furnished with a dedicated user account by authorized UTP personnel (the “End User Account”) in the form of a full account with prior agreed upon features ("Full Account”) as further specified by UTP.
UTP reserves the right at any time and at its sole discretion to bar access of any End User, with reasonable justification on premises that the End User has either abused the Software or the relevant account has expired.
This section covers terms related to privacy of the End User.
Any and All data stored on the Software are guaranteed to be private to the group which owns it and accesible only to End Users which are authorized members of that group. UTP personnel will not have direct access to any of such End User uploaded data unless authorized in writing by the end user by which the aforementioned personnel may be added to the authorized group.
UTP may exercise access to the End User's current login status in the event that this action is required.
Any and All End User profile data are guaranteed to be private to the End User only.
The End User password is stored as an encrypted key in the Software and under no circumstances will it be decrypted for plain text viewing.
This section covers the terms related to the use of software.
Ownership of and responsibility for all uploaded data by End User within the Software or generated by End User through End User’s use of the Software (collectively, the “Content”) shall fully remain with End User or its respective owner.
End User assures, guarantees and warrants that (i) it has sufficient rights to upload and modify the Content, (ii) there are no third-party rights, such as but not limited to intellectual property rights which may pose restriction on the uploading or generation of the Content by End User (iii) the Content does not contain any viruses, worms, malicious code or other harmful or destructive content, and (iv) the Content does not contain any unlawful or inappropriate content.

This section covers the key payment terms required by the End User.
End User’s right to use the Software in accordance with these Terms and the Agreement come with a preagreed fee scale payable to UTP.
All fees shall be subject to statutory taxes & UTP management fees at the applicable rate. All fees shall be due and payable by End User within thirty (30) days’ of receipt of an invoice from UTP without discount unless specified otherwise in the Agreement.
This section covers the Software warantty as provided by UTP alongside limitation to liabilities.
The warranty with respect to the extent, nature and quality of the Software are determined by the Agreement on a case to case basis. Software descriptions, documentations, test programs, etc. represent mere indicative specifications but do not constitute guarantees or agreements on such specifications. The Software performance guarantee requires the written confirmation from an authorized UTP personnel.
UTP will not be responsible for inappropriate, flawed or wrong pipeline data upload by the End User such as in the case of mis configured units in the uploaded pipeline data file.
This section covers the laws that govern any dispute for this Software.
In the event of a legal case, the governing law shall be the Laws of Malaysia.
